Terms of use

Welcome to AllTalk, an online communication platform that enables users to send and receive text messages through a web-based interface. By accessing or using the AllTalk platform, including its associated websites, applications, and services ("AllTalk", "Platform", "we", "us", or "our"), you ("you", "your", or "User") agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the Platform.

1. Acceptance of Terms

By registering for, accessing, or using the Platform, you agree to comply with and be legally bound by these Terms of Use, as well as our Privacy Policy. These Terms constitute a binding legal agreement between you and AllTalk.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of a business or legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify AllTalk immediately of any unauthorized use or breach of security.

4. Use of Services

You agree to use the Platform only for lawful purposes and in accordance with all applicable local, state, federal, and international laws and regulations. You shall not:

  • Use the Platform to send unsolicited or unauthorized advertising, spam, or bulk messages;
  • Impersonate any person or entity or falsely represent your affiliation;
  • Use the Platform in any manner that could damage, disable, overburden, or impair any server, or interfere with any other party’s use of the Platform.

5. Message Storage and Retention

All text messages sent or received through the Platform are automatically stored and retained on AllTalk’s secure servers. These communications may be accessed, reviewed, or disclosed by AllTalk:

  • As necessary to comply with legal obligations, subpoenas, or court orders;
  • To resolve disputes or enforce these Terms;
  • To investigate misuse or violation of laws or these Terms;
  • Upon request by authorized account holders.

By using AllTalk, you acknowledge and consent to the storage, retention, and potential disclosure of your communications in accordance with these Terms and applicable law.

6. User Content and Data

You retain ownership of the contact lists and message content you upload or transmit through the Platform. However, by submitting data or content to AllTalk, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, store, and process such content solely for the purpose of providing the services and improving the Platform’s functionality.

7. Third-Party Services

AllTalk may integrate with or rely on third-party service providers, such as telecom carriers, cloud hosting services, or analytics platforms. All such third-party services are governed by their respective terms, and AllTalk is not liable for their acts or omissions.

8. Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations;
  • Transmit any content that is abusive, harassing, defamatory, obscene, or otherwise objectionable;
  • Use automated systems to access the Platform without express permission.

9. Termination

AllTalk may suspend or terminate your access to the Platform at any time, with or without cause or notice, including but not limited to violations of these Terms. Upon termination, your right to use the Platform will cease immediately, and your account data may be retained or deleted in accordance with our data policies.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without any warranties of any kind, express or implied. AllTalk disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or harmful components.

11. Limitation of Liability

To the fullest extent permitted by law, AllTalk and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or goodwill arising out of or in connection with your use of the Platform.

12. Indemnification

You agree to indemnify, defend, and hold harmless AllTalk and its affiliates from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Platform or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts.

14. Modifications to Terms

We reserve the right to modify or update these Terms at any time. Continued use of the Platform after any such changes constitutes your acceptance of the new Terms. We will notify registered users of material changes via email or prominent notice on the Platform.
